Terms of Service and License Agreement

Please read these terms before you purchase or use VDot. By purchasing a license or using the software, you agree to be bound by them. If you do not agree, do not purchase or use VDot.

Draft for review. These terms take effect on the customer release date and are published here early so buyers know exactly what they are agreeing to.

1. Definitions

2. Changes to these terms

We may update these terms and the Software from time to time. We will announce material changes in a visible way. Your continued use of VDot after updated terms are published means you accept the changes. The current terms apply to all versions of the Software, including future Updates.

3. License grant

We grant you a non-exclusive, non-transferable, limited, revocable license to Use the Software under these terms. We keep all rights not expressly granted to you. Buying a license does not give you ownership of the Software or any intellectual property in it.

4. Permitted use and restrictions

To install VDot and receive Updates, your computer must meet the system requirements in the Documentation. VDot is built for a normal system environment and may not run if required system libraries are missing.

Without our prior written permission, you will not:

One license may activate VDot on up to 3 devices at the same time. A device means a distinct machine, operating system install, user account, or virtual machine. You may use the licensed Software for personal and commercial purposes.

If you break these restrictions, we may end support, revoke your License Key, or take further legal steps.

5. Updates and support

You are entitled to receive Updates free of charge unless an update is a Major Update. A Major Update may require an additional fee, which we will announce before it is available.

Support is provided as described on our support page: best effort, as soon as reasonably practicable, without warranty that every issue can be resolved.

6. Your data

VDot is local-first: your documents stay on your computer. See our privacy notice for the full details of what we do and do not collect.

7. Disclaimer

You use the Software at your own risk. We work hard to improve VDot but cannot guarantee it is bug free. The Software is provided "as is" and "as available". We disclaim all warranties, express or implied, including the warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential damages arising from your use of the Software, including loss of profit, business interruption, or loss of data. This limitation does not apply where the law does not allow it, including liability for death or personal injury caused by negligence.

9. Governing law

These terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law principles. If you are a consumer entitled to stronger protections under the law of your home jurisdiction, those protections still apply to you.

10. Termination

These terms remain in force until your license expires or is terminated. We may terminate your license with immediate effect if you fail to comply with these terms or if required by law. On termination you must stop using the Software and delete all copies. Provisions that by their nature should survive termination will survive.

11. Contact
